Welcome to Manitoba Cloud. Any visit to or use of any of our cloud hosting services, websites, or infrastructure available at ManitobaCloud.ca means that you agree to abide by the Terms and Conditions outlined below. Please read this content carefully before using our services. If any of its clauses contradict any of the terms mentioned here, then you must refrain from using our services.
These Terms and Conditions apply to all Manitoba Cloud customers, visitors and website users who are cloud hosting providers based in Manitoba, Canada.
1. Acceptance of Terms
Creating an account, making a purchase or using any services offered by Manitoba Cloud Ltd – including dedicated servers, VPS (Virtual Private Servers), Cloud Hosting or any other service detailed on ManitobaCloud.ca- implies that you have read, understood and agreed to adhere to our Terms and Conditions, the Acceptable Usage Policy (AUP) and the Privacy Policy. All three documents form the basis of our contract with you.
2. Services Offered
Manitoba Cloud Ltd provides various cloud computing solutions such as dedicated server hosting services, Virtual Private Servers, Managed Web Hosting Platforms and relevant technical facilities. Availability of our services is subject to their being available, and we reserve the right to modify, improve, or discontinue our services at any time, providing reasonable notice to existing customers wherever relevant. Manitoba Cloud Ltd can choose to deny provision of our services to anyone or any organization at our absolute discretion.
3. Account Responsibilities
You are responsible for keeping your account details safe including your login id and password. All actions performed using your account are your responsibility. In case you suspect any illegal access to your account, please inform Manitoba Cloud Ltd by opening a ticket immediately. Manitoba Cloud Ltd cannot be held accountable for any losses or damage(s) resulting from inadequate security measures for your login details.
You are required to provide accurate and up-to-date information while setting up your account and keep it updated as necessary. Falsifying or furnishing incorrect information may lead to immediate cancellation of your account.
4. Payment and Billing
All fees for Manitoba Cloud Ltd services are in United States Dollars (USD) unless otherwise stated. Payment must be made in advance at the commencement of the billing cycle chosen for your chosen plan. Manitoba Cloud Ltd reserves the right to suspend or cancel our services if no payment is received from you. We may change our prices with/without adequate prior notice. Any refunds due under certain circumstances, as stated in the refund policy associated with your plan, shall be provided by Manitoba Cloud Ltd at our discretion.
If you initiate a chargeback without getting in touch with our support team, your account may be suspended immediately, and extra charges for administrative tasks may apply. If you have any issues regarding your billings, you can open a ticket with us before raising a dispute.
5. Acceptable Use
Your use of Manitoba Cloud Ltd services must comply with our Acceptable Use Policy (AUP), which is part of these Terms and Conditions. Any use of our infrastructure for illegal, abusive or harmful purposes is strictly prohibited and may result in immediate suspension or cancellation of your services without any right to refund. See our AUP for a complete list of activities that are not allowed.
6. Data and Privacy
Manitoba Cloud Ltd takes good care to protect the privacy and security of your data. All customer data hosted on Manitoba Cloud Ltd’s servers is stored in Canada in accordance with relevant Canadian laws dealing with data protection, such as the Personal Information Protection and Electronic Documents Act (PIPEDA). 7. Uptime and Service Availability
Manitoba Cloud Ltd aims for 99. 9% up time on its server hosting platforms. Although we work hard to provide reliable access to our services, we cannot offer uninterrupted or error-free services. We give advance notice of scheduled maintenance windows whenever possible. Manitoba Cloud Ltd is not responsible for any disruptions caused by factors outside our control, including problems with the internet connection leading up to us (e.g., upstream network failure), acts of God (force majeure), or actions taken by you or your users.
8. Limitation of Liability
To the maximum extent permitted by law, Manitoba Cloud Ltd is not responsible for any indirect, incidental, special, consequential or punitive damage(s) resulting from or connected with your use of our services, even if we know that such damage(s) could occur. The total amount we will pay to you in compensation for any direct damage will not exceed the total amount of money you paid to Manitoba Cloud Ltd during the 3 months preceding the occurrence of the incident that resulted in your claim.
9. Intellectual Property
All content, trademarks, logos and intellectual properties available on manitobacloud.ca belong to Manitoba Cloud Ltd or its licenses. You are not allowed to create copies, make them available or use any of our intellectual properties unless you obtain written permission from us first. The data or content you upload or store via Manitoba Cloud Ltd services belong to you alone, subject to the rules mentioned in this document.
10. Termination
Manitoba Cloud Ltd has the right to suspend or cancel your account and limit access to our services at any time and for any reason, with or without prior notice, if we find out that you have violated these Terms and Conditions or the Manitoba Cloud Ltd Acceptable Use Policy. You can cancel your account at any time by contacting our support team. Upon account cancellation, all unpaid fees must be paid immediately.
11. Governing Law and Jurisdiction
The Manitoba Cloud Ltd Terms and Conditions are governed by and interpreted in accordance with the laws of the Province of Manitoba and the federal laws of Canada. Any legal disputes arising from or in relation to these terms must be heard exclusively in the Courts of Manitoba, Canada.
12. Changes to These Terms
Manitoba Cloud Ltd reserves the right to update or amend these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our services following any changes constitutes your acceptance of the revised terms. We encourage you to review this page periodically.
